外商（港澳臺(tái)）投資企業(yè)申辦過程中所需提交材料（自貿(mào)區(qū)）
Documents Prepared for the Application to set up a Foreign - Invested (TAIWAN, HONHKONG, MACAO) Company（Polot Free Trade Zone）
一、 名稱登記階段：(PHASE ONE:NAME REGISTRATION)
1、 投資人簽署的《名稱登記申請(qǐng)書》（外國(guó)投資方有權(quán)代表簽署、中方蓋章+法人簽字、自然人簽字）
Name Registration Application with the signature of the investors.
2、 投資各方營(yíng)業(yè)執(zhí)照+投資方有權(quán)代表簽字人的護(hù)照復(fù)印件
Legal Business license of all the investors
①、投資外方營(yíng)業(yè)執(zhí)照須經(jīng)當(dāng)?shù)毓龣C(jī)關(guān)公正后，并經(jīng)中國(guó)駐當(dāng)?shù)卮笫桂^認(rèn)證（認(rèn)證原件2份）。上述資料需經(jīng)上海專業(yè)翻譯公司翻譯成中文（中文原件2份）。（詳見備注1）
Investing business licenses must be approved by local authorities just notarized, then the local Chinese embassy certification. (2 originals). The above information is subject to the professional translation companies in Shanghai translation (2 originals). (see Note 1)
②、香港投資人的合法開業(yè)證明（包括“公司注冊(cè)證書”和“商業(yè)登記證”），必須經(jīng)香港公正機(jī)關(guān)公證,并經(jīng)中國(guó)法律服務(wù)（香港）有限公司轉(zhuǎn)遞、出具。（詳見備注2）
Hong Kong investors have legitimate business (including "company registration certificate" and "Business Registration Certificate") must be approved by Hong Kong authorities just notarized, and the China Legal Service (HK) Limited transmit, produce. (see Note 2)
③、外國(guó)個(gè)人投資者需提供護(hù)照原件+復(fù)印件+入境證明（護(hù)照后頁(yè)入境簽證的時(shí)間復(fù)印即可）
④、中方提供企業(yè)法人營(yíng)業(yè)執(zhí)照（非上海企業(yè)需要提供執(zhí)照原件+蓋章復(fù)印件，上海企業(yè)只要提供加蓋公章的執(zhí)照復(fù)印件，自然人提供身份證原件+復(fù)印件）。

二、 政府審批和工商注冊(cè)登記階段(PHASE TWO: EXAMINE、APPROVE AND REGISTRATION)
1、 投資方簽字認(rèn)可的項(xiàng)合同、章程，以及外商投資企業(yè)設(shè)立申請(qǐng)書、設(shè)立審批告知承諾書（報(bào)告、章程可由代理單位代為編制）；
Project Feasibility Study, Contract and Articles with the signature and approved by the investors. (Agent can be compiling PFS and Articles for the Clients).
2、 外方投資者須提供銀行出具的企業(yè)資信證明（原件1份），并由翻譯公司翻譯成中文（原件1份）(列入“負(fù)面清單”項(xiàng)目需要提供)。
The foreign investors should show the Finance Credit Certificate issued by Bank. (1 original), and it should be translated into Chinese by Shanghai Professional Translation Company(1 original). （“Negative list”need to provide）
3、 申辦生產(chǎn)型企業(yè)（或增資等），還需要提供“環(huán)境影響評(píng)價(jià)備案征詢表或環(huán)評(píng)報(bào)告書（需要由環(huán)評(píng)受理單位蓋章）、項(xiàng)目節(jié)能評(píng)估表（或書）。
Applying for production enterprise (or increase). also need to provide " Environmental impact assessment record consult Table (sealed by environmental management department).
4、 法定代表人簽署的《外商投資企業(yè)登記申請(qǐng)書》和《名稱核準(zhǔn)通知書》（工商統(tǒng)一的表格）；以及；

6、 擬成立企業(yè)的企業(yè)董事長(zhǎng)、副董事長(zhǎng)、董事、總經(jīng)理、副總經(jīng)理、監(jiān)事、企業(yè)聯(lián)絡(luò)員身份證明
ID, Resume of the Director of the Board, and provide the copy of the passport for the Director of the Board, the vice Director of the Board, members of the Board, general manager, vice general manager, supervisor and the liaison officer.
7、 經(jīng)營(yíng)場(chǎng)所（住所）租賃合同（原件2份），及出租方的產(chǎn)權(quán)證明（必須加蓋產(chǎn)權(quán)單位公章）。自有產(chǎn)權(quán)房屋提供土地證、房產(chǎn)證（必須加蓋產(chǎn)權(quán)單位公章）。租賃合同還必須經(jīng)所在地房地產(chǎn)登記部門登記備案，出具房屋租賃備案證書。
House Lease (Purchase) Contract (2 originals) with the chop of the landlord , and to show land use right certificate, property certificate(with the crop of the landlord). And must be approved by the real estate sector registration.
8、 給代理機(jī)構(gòu)的委托代理書（原件2份）。
The Entrust Agreement of the Consulting Agency (2 originals).
9、 法定代表人授權(quán)委托書（原件3份）。
Letter of Authorization by the Legal Representative (3 originals).
9、董事會(huì)成員名單，投資各方委派書（工商局統(tǒng)一表格，原件各3份）。
Name lists of the members of the Board, Letter of Appointment by various partners (Issued by Shanghai I&C Bureau, 3 originals for each).
10、《外商投資企業(yè)設(shè)立備案申報(bào)表和承諾書》《由企業(yè)蓋章及法人代表簽字的保證所提供材料真實(shí)性的承諾書》（原件）等表格一套（網(wǎng)上申報(bào)通過后，需要投資方簽署）

11、擬成立企業(yè)正式名一個(gè)，備用11、名二個(gè)（中英文），以及擬成立企業(yè)經(jīng)營(yíng)范圍。
Business scope, one formal name, two optional names both in English and Chinese for the company to be set up.
備注：
1． 紅色標(biāo)注的文件，投資方需要先行準(zhǔn)備；其他文件則由投資方提供相關(guān)信息后，德頌公司準(zhǔn)備好所有申報(bào)文件，投資方簽字蓋章即可。
2． 投資方注冊(cè)登記證明公證說明：
1） 法國(guó)不需要公證及認(rèn)證；
2） 日本只需中國(guó)駐日本大使館認(rèn)證即可；
3） 臺(tái)胞證不需要公證；
4） 外國(guó)個(gè)人投資者需提供護(hù)照復(fù)印件及入境證明（護(hù)照后頁(yè)入境簽證的時(shí)間復(fù)印即可）
